This document is a working draft. It describes how Cobalt ERP intends to operate and has not yet been reviewed by a solicitor. Items marked [to be completed] need facts only Cobalt ERP holds. Do not rely on it as a contract until it is signed off.

These terms

These terms govern your use of the Cobalt ERP website and, once it is available to you, the Cobalt ERP service. By joining the waitlist or using the service you agree to them.

The service

Cobalt ERP is an operational ERP: sales, purchasing, stock, warehouse, delivery, people and a ledger, with an intelligence layer that reads your records and prepares work.

Availability. Cobalt ERP is pre-launch. Access is granted through an early-access programme, capabilities described as beta are not final, and we do not warrant that any specific capability will ship on a given date. The roadmap is indicative, not a commitment.

Service levels. Priority support is included from Scale upward and an service-level agreement is offered on Enterprise plans. Details of any service-level agreement are agreed in writing; nothing on the marketing site constitutes one.

Your account and your data

You own your data. The records you put into Cobalt ERP remain yours. We process them to provide the service, under the data processing agreement.

Export, always. You can export every record to CSV or through the API at any time, during the subscription and for [to be completed] after it ends. There is no exit fee and no notice period on export.

Your responsibilities. Keep your credentials secure, make sure the people you give access to are entitled to it, and do not use Cobalt ERP to store data you have no right to hold.

Artificial intelligence features

Cobalt ERP’s intelligence layer prepares work and, where you have granted it, takes bounded action. Autonomy is granted by you, one capability at a time, and enforced with caps you set.

You remain responsible for what you commit. An answer or a prepared action is advisory until a person with authority accepts it. Cobalt ERP cites the records behind every answer so it can be checked; checking it is your decision, not ours.

Your data is not training data. We do not use your records to train models for anyone else.

Payment

Plans are billed monthly in euros and exclude VAT, which is calculated at checkout. Prices are those published on the pricing page at the time you subscribe.

You may change plan at any time; a change takes effect from the next billing period unless we agree otherwise. You may cancel at any time and will not be billed for a further period.

We offer a 30-day money-back period from your first payment. Setup fees are waived until 31 December 2026.

Liability

Nothing in these terms excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be excluded by law.

Subject to that, our total liability in any twelve-month period is limited to the fees you paid in that period, and we are not liable for loss of profit, loss of business or indirect loss.

Ending the agreement

You can stop using Cobalt ERP at any time. We may suspend or end access if you breach these terms materially and do not fix it after we ask, or if we are legally required to.

If we discontinue the service we will give you reasonable notice and time to export your data.
